The Bittern Countryside Community Interest Company is an incorporated body set up as a shareholding private company. Community Interest Companies are also often called social enterprises or Not-for-Profit companies.

This latter name isn't really accurate as social enterprises are interested in making profits. However there is a clear purpose to making money - unlike every other kind of company in the UK, it is not about making money for the shareholders and Directors. CICs have to legal duty to fulfil their Community Interest Statement, which sets out how the Company will work for the benefit of its community.  Each year the Company has to report to the CIC Regulator who makes sure we meet our Statement's aims.

The Bittern Countryside CIC is a private company owned by its shareholders. There are ordinary shares and management shares (available to Directors). As a private company its shares cannot be traded and are not listed on any stock market or exchange. Unlike shares in a public limited company, the CIC's shares have a fixed value, with each ordinary share valued at £10 and management shares £1. Being a shareholder

To become a shareholder in the CIC you must purchase a minimum of one share. Each share purchased becomes your property and carries a single vote at meetings. The more shares you own the more influence you have over how the Company meets its commitments and objectives. The Company's Directors are appointed by the shareholders at the Annual General Meeting, with a third of the Directors being elected in any one year.

As a shareholder, you may receive a dividend from the company - if it makes a profit and the Directors agree to pay a dividend. The amount received is restricted by the CIC Regulator to ensure that the Company acts in a proper and ethical manner towards its "community of interest" and fulfils its social and environmental obligations, rather than principally acting to provide the best financial return for its shareholders - perhaps the biggest single difference between a CIC and a Limited Company or PLC!
